Cost
There is zero cost to become an affiliate. . All you have to do is to promote ninsha service on your web site with the URL specific to your account.
Program Terms
This Agreement contains the terms and conditions pertaining to your participation as a ninsha.com Agent Affiliate. In this Agreement, "we" or "our" refers to ninsha.com, and "you" refers to an "Agent Affiliate". We will hereafter use "you" and "Affiliate" interchangeably.
1. How to Enroll in the Program
To begin, complete the online application via our site. We reserve the right to reject your application at anytime and for whatever reason we deem necessary. We will contact you and talk to you about the due diligence process in order to qualify you and approve the application. Once accepted, you will receive complete instructions on how to incorporate our online service into your web site and how to logon to your account.
2. Marketing
You will be responsible for marketing and advertisement of ninsha.com service on your web site. We can provide you with suggestions, guidelines, and tools to advertise online (e.g., google AdWords) for your specific URL.
3. Customers and Tracking
We will be responsible for processing payments placed by customers signed through the URL posted on your web site. This means we will handle all issues pertaining to the subscriptions and store purchases that are a result of your marketing and sales effort. This includes all customer service, including cancellations and renewals, once a customer sign up to ninsha.com service through your published URL. We will track all customers that are purchasing and making long distance calls. You simply don't have to worry about anything, just market the ninsha.com service and collect your commissions. You will also get an agent account to which you can logon and review the data including minutes and earned commissions.
4. Payment and Commission
An Affiliate will receive a 30% commission on the net revenue of calls minutes originated by your customers. The current net revenue of each minute varies between 0.7 to 1 cents per minute. However, we reserve the right to change the net revenue based on market conditions and competitions. We pay the commissions to the Affiliate by the end of each month. Affiliates are paid on a net 30 terms.
5. Performance
We have the right to terminate the agreement if you don't meet the expected performance after 1 year of being our affiliate. The basic performance requirement is that, after 12 months of subscription, the monthly aggregate minutes generated by all your customers must not be less than 1000 minutes per month.
6. Limited License
You have a nonexclusive right to use our web site, icons, images, and content to market ninsha.com products and services in your serving areas. You may not modify any of our images or content. We reserve all rights for the icon, our trade names and trademarks. We may revoke your license at any time by giving you written notice if you don't comply with your rights.
7. Responsibility for Your Markeing
You will be solely responsible for the marketing and advertisement campaigns to promote the service on your web site.
8. Relationship of Parties
Nothing in this Agreement creates a partnership, joint venture, or employment relationship between the parties.
9. Limitation of Liability
We are not liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program.
10. Disclaimers
We cannot guarantee that our service will be uninterrupted or error-free, and we will not be liable for any consequences arising from any interruptions or errors.
11. Terms and Conditions
The term of this Agreement will take effect upon our acceptance of your Affiliate application and will end when terminated by either party. Either party may terminate this Agreement at any time, for any reason. We may choose to terminate this Agreement if you have breached any conditions of this Agreement.
You are only eligible to earn commissions during the term of the Agreement. Payments earned through the date of termination will remain payable within 30 days. We may withhold your final payment for a reasonable time to ensure that the correct amount is paid.
IF ANY PORTION OF THIS AGREEMENT OR ANY FUTURE MODIFICATIONS TO THIS AGREEMENT ARE UNACCEPTABLE TO THE AFFILIATE, OR CAUSE THE AFFILIATE TO NO LONGER BE IN COMPLIANCE WITH THE AFFILIATE AGREEMENT, THE AFFILIATE OR NINSHA.COM MAY CANCEL THE AGREEMENT. AN AFFILIATE'S CONTINUED USE OF THE SERVICE CONSTITUTES A BINDING ACCEPTANCE BY THE AFFILIATE.
12. Miscellaneous
This Affiliate Agreement has been made in and shall be construed and enforced in accordance with California law in USA. Any action to enforce this agreement shall be brought in the federal or state courts located in Pleasanton, California.
